By visiting our site, submitting an inquiry, or otherwise using our Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services or submit any personal information through this site.

2. Eligibility & Your Responsibilities

To use our Services, you must meet the following requirements:

CoverWise Roofing is an internet marketing and lead generation platform. Our role is to connect consumers who are seeking roofing products with licensed professionals who may be able to help. We are not an roofing agent, broker, carrier, or financial institution, and nothing on this site constitutes an application for or offer of any roofing or financial product.

When you submit an inquiry through our platform, your information may be shared with and purchased by licensed roofing professionals who offer products related to your request. We do not endorse, warrant, or guarantee the products, services, or qualifications of any third party who may contact you as a result of your inquiry.

4. Electronic Signature & Communications (ESIGN)

By using our Services, you consent to conduct business electronically and agree to the following:

Electronic Signature

Your use of a keyboard, mouse, touchscreen, or other device to interact with our Services — including clicking buttons or submitting forms — constitutes your legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and has the same legal effect as a handwritten signature.

Electronic Communications

You consent to receive all communications from us electronically, including notices, disclosures, agreements, and other information. Electronic communications satisfy any legal requirement that such communications be provided in writing.

Withdrawing Consent

You may withdraw your ESIGN consent at any time by contacting us at support@coverwiseroofing.com. Note that withdrawing consent may limit your ability to use certain features of our Services.

By submitting an inquiry through CoverWise Roofing, you expressly authorize us and our network of licensed roofing professionals to contact you using the information you provide, including:

•Autodialed or manually dialed telephone calls
•Prerecorded or artificial voice messages
•SMS and MMS text messages
•Email communications

This consent applies even if your number is listed on a state, federal, or corporate Do Not Call registry. Your consent is not a condition of purchasing any product or service. Standard message and data rates may apply. You may opt out of communications at any time by following the instructions provided in those communications.

6. Intellectual Property

All content, features, and functionality available through our Services — including text, graphics, logos, design elements, software, and other materials — are owned by or licensed to MS2 Performance LLC and are protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, transmit, display, or otherwise exploit any content from our Services without our prior written consent. You may print individual pages for personal, non-commercial reference only, provided that you do not remove any copyright or trademark notices.

7. Prohibited Conduct

You agree not to use our Services in any of the following ways:

Our services are provided on an "as-is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.

We make no representations or guarantees regarding the accuracy or completeness of any content on our platform, the qualifications of any roofing professional who may contact you, or the availability or suitability of any roofing product for your specific needs. Your use of our Services and any reliance on information provided is entirely at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, MS2 Performance LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.

Any cause of action you may have arising out of or related to our Services must be commenced within one (1) year after the cause of action accrues, or it will be permanently barred.

10. Indemnification

You agree to defend, indemnify, and hold harmless MS2 Performance LLC and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with your use of our Services, your violation of these Terms, or your infringement of any third party's rights.

11. Dispute Resolution & Arbitration

By using our Services, you agree to resolve any disputes through binding arbitration rather than litigation in court, except for claims under $1,000 which may be brought in small claims court.

Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved exclusively through final and binding arbitration administered by JAMS under its Consumer-Related Dispute rules. The Federal Arbitration Act governs this agreement to arbitrate.

An arbitrator may award the same relief on an individual basis that a court could award. The arbitrator shall apply applicable law and honor all legally recognized privileges. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Arbitration costs will be governed by JAMS rules. The arbitration may be conducted by phone or written submission for claims under $10,000, unless the arbitrator determines otherwise.

12. Class Action Waiver

You and the Company agree that all claims must be brought on an individual basis only. Neither you nor the Company may participate in a class action, consolidated proceeding, or representative action. The arbitrator may not consolidate claims from multiple individuals and may not award class-wide relief. If this waiver is found unenforceable, the entire arbitration agreement shall be null and void.

13. Governing Law & Severability

These Terms shall be governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Arapahoe County, Colorado.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

14. Termination

We reserve the right to suspend or terminate your access to our Services at any time, for any reason, without notice or liability. If you breach any provision of these Terms, your right to use our Services terminates immediately. We may also modify, suspend, or discontinue the Services at any time without notice.

15. Changes to These Terms

We may revise these Terms at any time by posting updated terms on this page. Changes take effect immediately upon posting unless otherwise stated. Your continued use of our Services after any update constitutes your acceptance of the revised Terms. We recommend checking this page periodically for updates.
