1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding agreement between you and MS2 Performance LLC d/b/a CoverWise Roofing ("we", "us", or "our"). By accessing or using our website at coverwiseroofing.com or submitting an inquiry through our platform, you agree to these Terms.

2. Eligibility

You must be at least 18 years of age and a resident of the United States to use our Services. By using our Services, you represent that you meet these requirements.

3. Our Services

CoverWise Roofing is an internet marketing and lead generation platform. Our role is to connect property owners who are seeking roofing services with licensed roofing contractors who may be able to help. We are not a roofing contractor, and nothing on this site constitutes a contract for or offer of any roofing services.

Any contracts, work, warranties, pricing, or services you receive are between you and the contractor you choose to engage. We make no representations or warranties about the contractors in our network, the work they perform, or the pricing they offer.

4. Your Information & Consent

By submitting an inquiry, you provide your electronic signature in accordance with the ESIGN Act and represent that all information you provide is accurate and truthful.

You expressly consent to receive marketing communications including phone calls, text messages, and emails from CoverWise Roofing and our network of licensed roofing contractors regarding your inquiry, including via automated dialing systems and prerecorded or artificial voices. This consent applies even if your phone number is registered on a Do Not Call list. This consent is not a condition of any purchase.

5. Acceptable Use

You agree not to:

• Submit false, inaccurate, or misleading information
• Use our Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Submit inquiries on behalf of someone else without their authorization
• Use automated tools, bots, or scrapers to access our Services

6. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components.

We are not responsible for the conduct, services, work quality, pricing, or business practices of any contractor in our network. Any disputes between you and a contractor must be resolved directly with that contractor.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MS2 PERFORMANCE LLC OR COVERWISE ROOFING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

8. Indemnification

You agree to indemnify, defend, and hold harmless MS2 Performance LLC, CoverWise Roofing, and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of our Services or violation of these Terms.

9. Arbitration & Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in the State of Colorado.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10. Governing Law

These Terms are governed by the laws of the State of Colorado without regard to its conflict of law principles.

11. Changes to These Terms

We may modify these Terms at any time by posting the revised Terms on our website. The "Last updated" date at the top indicates when these Terms were last revised. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.
